Regifactu

Terms of Service

Who provides the service and what these terms cover

The Regifactu service is provided by Bitcar Home SL, NIF (Spanish tax ID) B22657662, registered at Calle Picapedreros, 2 — 14029 Córdoba (Córdoba), Spain, and registered with the Córdoba Companies Register (the “Company”). Contact: regifactu@agoraflor.es.

These terms govern the contracting and provision of the Regifactu platform. The contract comprises these terms and the commercial terms in force (the prices and plans published on the pricing page linked during registration). The privacy policy explains how personal data is processed and is not part of the contract. Matters not covered…

The service

The service provides an individual, private Regifactu platform instance (a “cell”): a business management and invoicing system, accessible through a browser at its own subdomain, with the modules covered by the customer’s commercial terms.

It includes hosting on the Company’s infrastructure in the European Union, platform updates, the backups described below and support as set out in the commercial terms. The service includes adapting the platform to changes in Spanish invoicing rules (including VERI*FACTU) within the timeframes allowed by law.

Registration, approval and activation

Registering on the website is a request to contract and does not require the Company to accept it. After registration, the request awaits approval; the Company may reject it with reasons (for example, if details are incomplete or cannot be verified). The contract is formed when the Company expressly approves the request. No payment is taken before approval.

Once approved, the customer’s cell is created and remains inactive until the Company activates it and provides access. The Company aims to approve and activate requests within a few working days, but does not guarantee a timeframe.

Account and login details

Login details are personal and must not be shared. The customer is responsible for keeping them secure and for all activity carried out using them, and must promptly report any suspected unauthorised use. Cell login details are managed through the portal, where the password can be changed at any time.

The customer agrees to provide accurate details and keep them up to date, especially billing tax details. Anyone registering confirms they have authority to contract on behalf of the business they represent.

Pricing and invoicing

Prices, tiers, modules, development packages and payment plans are those in the commercial terms accepted at registration; the signed version is kept on file. All amounts exclude VAT, which is added at the current rate.

Fees are billed in advance at the agreed intervals. Fees may be reviewed once a year in line with the CPI, with 60 days’ notice. Invoices are issued electronically and available in the customer portal.

Payment methods

Customers can pay by card or SEPA Direct Debit. Card details are entered directly on the Stripe payment platform, and the direct debit mandate is signed directly with GoCardless. The Company never sees, receives or stores card numbers or IBANs; it only receives technical payment references.

The first payment is taken after registration is approved. For SEPA Direct Debit, customers retain the rights provided by the SEPA Core scheme, including refunds within the scheme’s time limits. A refunded payment does not cancel the debt if the amount was due. Notice of each debit may be sent at least 3…

Term, commitments and cancellation

The contract runs month to month and renews automatically. The base software and catalogue modules have no minimum term and can be cancelled with 30 days’ notice.

Funded custom development has the commitment set out in the commercial terms (36 monthly instalments). Early cancellation carries no penalty, but makes the outstanding development balance immediately payable as a deferred payment. There is no minimum term for one-off payments. Hour bundles expire 12 months after purchase. Annual maintenance is charged from month 13, under the commercial terms.

Cancellation takes effect when the…

Customer data and export

Data entered by the customer in their cell belongs to them. When the contract ends, for any reason, the customer is entitled to a free, complete export of their data in standard formats (for example, an SQL dump and/or CSV files, with attachments).

After the contract ends, the Company will retain the cell and its backups for 30 days to allow export. After that, the cell will be deleted and backups will expire under the retention cycle (within a further 30 days at most), except where the Company must retain them by law.

Availability and maintenance

The Company provides the service with professional care and aims for maximum continuity, but does not guarantee uninterrupted availability. Maintenance requiring downtime will, where possible, take place outside normal working hours, with advance notice for planned work.

There is no service-level agreement with penalties unless expressly agreed in writing.

Backups

The platform makes a daily, encrypted full backup of each cell’s database and documents, stored off-server, and continuously archives the change log every 15 minutes. The maximum target data loss after a platform incident is 15 minutes. Backups are kept for at least 30 days.

Restoration following a platform incident is included. Restoration requested by the customer to undo their own errors (such as accidental deletion) may be provided as support under the commercial terms.

Acceptable use

The customer agrees to use the service lawfully and in line with these terms. The cell must not be used for unlawful activity, to compromise the security of the platform or other cells, or to give access to anyone outside the customer’s organisation.

The number of users is based on the contracted tier and counts active named users. The Company allocates technical resources to each cell (memory, processor and disk) based on the plan and may adjust them for operational reasons while maintaining the agreed service.

Software and ownership

The platform is built on free software licensed under GPL version 3 (including the underlying ERP and platform modules). Customers contract for a service, not a proprietary licence: hosting, operation, maintenance, support and, where applicable, development. The service does not involve delivery or distribution of software. If the customer ever receives a copy of the platform or its modules, it will be under GPL version 3 and accompanied by the corresponding source code, as that licence requires.

Custom developments integrated into the platform are also licensed under GPL version 3.…

Data protection: processing agreement

For personal data hosted by the customer in their cell, the customer is the controller and the Company is the processor under Article 28 of the GDPR, on the following terms, which constitute a data processing agreement:

· Subject and duration: processing needed to host and operate the cell for the term of the contract. Nature and purpose: hosting, storage, backups and occasional technical access for support and maintenance. Data types: data entered by the customer (typically identity, contact, billing and business data). Data subjects: the customer’s clients, suppliers, employees and other…

Liability

Nothing in these terms limits liability where the law does not allow it. Subject to this, the Company’s total liability for contract-related loss is limited to the fees paid by the customer in the 12 months before the event giving rise to the claim. The Company is not liable for loss of profit or indirect loss. In particular, this limit does not apply to loss caused by wilful misconduct or gross negligence.

The customer is responsible for the content and data entered in their cell, their users’ use of the service and their own tax and accounting obligations. The platform is a management and…

Suspension and termination

The Company may suspend access after notice if payment remains overdue after the cure period, the service is used unlawfully or there is a serious risk to platform security. In urgent security cases, notice may be given at the same time or immediately after suspension. Suspension does not stop fees due from accruing.

Either party may terminate the contract in line with the cancellation notice periods under Term, commitments and cancellation. The Company may also terminate if the reason for suspension continues for 30 days after notice. The Data and export section applies on termination.

Changes to these terms

The Company may change these terms and the commercial terms. Changes will be notified at least 30 days in advance by email or through the customer portal. Price changes other than the annual CPI review will be notified at least 60 days in advance and give the customer the right to cancel without penalty before they take effect. If the customer disagrees, they may cancel without penalty before the changes take effect, without affecting any outstanding balance for funded development.

Each customer’s accepted version is kept on file with their signature. Later changes do not alter the evidence…

Confidentiality, assignment and notices

Each party will keep confidential the other party’s non-public information accessed under the contract and will not use it for any purpose other than performing the contract. This obligation continues after the contract ends.

The customer may not assign the contract without the Company’s consent. The Company may assign it to a group company or as part of a business transfer, with notice to the customer.

Notices between the parties are valid by email to the registered addresses. The Company may also give notice through the customer portal. These terms and the commercial terms are the entire…

Governing law and jurisdiction

This contract is governed by Spanish law. The service is for businesses and professionals. Any dispute will be heard by the courts with jurisdiction under the applicable rules. If any clause is held invalid, the rest remains in force.
